Private dental practice brokerage
A more discreet approach to buying and selling dental practices
At Meditax, dental practice brokerage is built on confidentiality, personalized service and carefully selected opportunities.
We connect qualified buyers with practice owners throughout Greater Montréal and surrounding areas through a private network. No public listings. No mass marketing. Every transaction is approached individually, with attention to the interests and objectives of both parties.
For buyers
Buying a dental practice
Whether you’re looking to acquire your first dental practice, expand your existing network or explore a partnership, finding the right opportunity is about more than finding a clinic for sale. It’s about finding a practice that fits your professional ambitions, financial objectives and vision for the future.
At Meditax, we take a highly personalized approach to dental practice brokerage. We don’t overwhelm you with listings or contact you every time a clinic becomes available. We take the time to understand exactly what you’re looking for and, equally importantly, what you’re not interested in. We reach out when we believe an opportunity is genuinely worth your consideration.
A more personal approach to finding your practice
Once you’ve completed our detailed buyer questionnaire, we invite you to an introductory meeting by Microsoft Teams or phone. It’s an opportunity to get to know you, understand your criteria in greater depth and discuss what you envision for your future as a practice owner.
We personally meet with every prospective buyer before arranging a practice visit. This allows us to maintain a carefully qualified network and identify opportunities that truly match your expectations.
Our goal isn’t to show you more practices. It’s to help you find the right one.

Selling a dental practice
Selling your practice deserves more than a listing. It requires thoughtful preparation, strategic positioning and the right buyer.
We provide a personalized, end-to-end brokerage service, from assessing your practice’s value and identifying opportunities to maximize its sale price, to preparing its market presentation, qualifying prospective purchasers and negotiating the transaction.
Every practice is presented discreetly to carefully selected buyers within our private network, with the objective of achieving the best possible outcome while protecting your confidentiality.

Dental practice valuation
The true value of a practice
Know what your dental practice is really worth
Whether you’re selling to an associate, considering a private sale or working with a broker, the first step is understanding the true value of your practice.
A professional valuation does more than establish an asking price. It provides the foundation for negotiations and is an essential part of the buyer’s financing process.
At Meditax, we coordinate a comprehensive valuation that brings together specialized experts to assess every component of your practice, ensuring a thorough, well-supported appraisal.
The components of a practice’s value
Your practice is worth more than its annual revenues or the profits reflected in its financial statements. A comprehensive valuation considers both tangible and intangible assets, as well as the factors that influence its market value.
Tangible assets
- Dental and non-dental equipment
- IT infrastructure
- Inventory
- Leasehold improvements, including renovations and specialized clinic installations
Intangible assets
- Patient base and goodwill
- Practice reputation and patient retention
- Financial performance and earning potential
Beyond the numbers
Location, accessibility, commercial lease terms, real estate ownership and future growth potential can significantly influence the value and saleability of your practice.
Identifying these factors early is essential, particularly when preparing for a sale.
A more comprehensive approach to valuation
One appraisal. Multiple specialized experts.
Rather than relying on a single evaluator, Meditax coordinates specialists in equipment, goodwill and other key valuation components.
Their findings are brought together into a comprehensive report designed to accurately reflect your practice’s value, support negotiations and facilitate buyer financing.

Selling tax‑free
Selling your dental practice tax‑free starts years before the sale
The difference between selling your dental practice and selling it tax-free often comes down to one thing: how early you start planning.
With the right corporate and tax structure, dentists who sell the shares of a qualifying dental corporation may be able to use the lifetime capital gains exemption to shelter a substantial portion, or potentially all, of the gain on the sale of their practice.
But this doesn’t happen automatically. It requires careful planning, often five to seven years before the sale, and sometimes even earlier.
The larger and more valuable your practice becomes, the more complex the planning may be. Practices with gains exceeding the available capital gains exemption may require additional restructuring and consideration of strategies involving a family trust.
At Meditax, we work with practice owners years before their intended sale to assess their corporate structure, identify tax-planning opportunities and prepare for a potentially tax-free exit.
The best time to plan your exit isn’t when you’re ready to sell. It’s while you still have time to structure it properly.

The right corporate structure for every stage of your dental career
Incorporation is more than a tax-saving strategy. It’s an important decision that can influence how you manage your income, accumulate wealth, protect your assets and plan for the future.
Whether you’re an associate dentist or an established practice owner, Meditax helps you establish a corporate structure that supports your immediate needs and long-term financial objectives.
For associate dentists
Incorporating as an associate
You don’t need to own a dental practice to benefit from incorporation.
As an associate dentist, incorporating may allow you to defer taxes on income retained in your corporation, plan how you compensate yourself through salary and dividends, and build a financial foundation for future investments or practice ownership.
We help you determine when incorporation makes financial sense and ensure your professional corporation is structured correctly from the beginning.

Incorporating your dental practice
Incorporating an existing dental practice requires more than establishing a professional corporation. It’s an opportunity to structure your business strategically for the years ahead.
At Meditax, we plan your corporate structure with your eventual sale in mind, including opportunities to qualify for the capital gains exemption and potentially sell your practice tax-free.
We also evaluate whether a holding company or family trust should form part of your overall structure, taking into account your tax planning, asset protection and long-term financial objectives.

Special attention to ODQ requirements and filings
Professional incorporation in Québec comes with specific regulatory obligations.
At Meditax, we work with the requirements of the Ordre des dentistes du Québec (ODQ) on every incorporation. We handle all required documentation, communications and filings directly with the ODQ on your behalf, so that your incorporation is properly coordinated with the applicable professional regulations.
About Meditax
Me Cathy Nehme
Tax lawyer · Founder of Meditax
Where a passion for healthcare meets a love for business
Long before founding Meditax, Cathy Nehme imagined a career in dentistry. In fact, her dream was to become an orthodontist.
But she was equally drawn to the world of business, entrepreneurship and the decisions that shape how businesses are built and grown.
Ultimately, she chose law. Yet her fascination with healthcare never left her.
A member of the Québec Bar since 2004, Cathy graduated from the Université de Montréal in 2002 and earned her master’s degree in tax law from HEC Montréal in 2007. She began her career in large law and accounting firms, developing her expertise in corporate, commercial and tax law.
In 2011, she founded Meditax, a boutique law and tax firm dedicated to healthcare professionals, with a particular focus on dentists.
In many ways, Meditax brought her career full circle. It allowed her to bring together two worlds she had always loved: healthcare and entrepreneurship.
Today, Cathy advises dentists on professional incorporation, corporate structuring, tax planning, practice acquisitions and sales, and the important decisions that accompany practice ownership.
Her approach combines the technical expertise of a seasoned tax lawyer with a genuine understanding of what it means to build, grow and eventually transition a business.
For Cathy, Meditax is more than a legal and tax practice. It’s the intersection of two lifelong passions, and the opportunity to help dentists build something of lasting value.
