Pre-qualified buyers

A private network of buyers we know personally

Every buyer in our network is a pre-qualified buyer: a dentist we have taken the time to meet before introducing a single practice.

We do not send practices to a list of people we do not know. When you join our private buyer network, we book a conversation with you before we ever bring you into one of our practices. We want to understand who you are, not only what you are looking for: how you practise, where you see yourself, your timeline and what matters to you in your next practice.

That is what allows us to move quickly and discreetly. When we meet a seller for the first time, we often already know which buyers we will call.

No open houses

We never bring buyers through a practice one after the other.

We invite buyers from our private network when we believe there could be a great match, based on what they are looking for. That is why a practice usually needs very few visits.

Purchaser profiles

Who we work with

We work with dentists acquiring their first practice, existing owners looking to expand, and purchasers with specific clinical or operational criteria.

The right purchaser is different for every practice. That is why we maintain a broad network of qualified purchasers with different acquisition objectives.

01

You plan to practise in the practice

You are looking for a practice where you can take over the clinical work and build the next stage of your career as an owner.

Depending on the practice and the seller's plans, the transition may include a period where the seller remains involved to support continuity with patients and the team.

02

You plan to own and manage the practice

You already own one or more practices and are looking to expand.

Your priorities may include an established team, strong operations and a transition that allows the practice to continue performing as ownership changes.

03

You plan to practise selectively

You are acquiring the practice as both an owner and a clinician, but you do not intend to take over all of the clinical work.

You may be looking for specific opportunities within the practice, including procedures that are currently referred out, while maintaining general dentistry through the existing or incoming team.

What you are looking for

A practice that is ready

An established practice with current equipment, well-maintained leaseholds and a team already in place.

You are looking to acquire an operating practice rather than take on a significant renovation or operational project.

A practice you can make your own

The fundamentals are there, but you see an opportunity to update the space, equipment or operations over time.

You are comfortable investing beyond the purchase price when the underlying practice is the right fit.

A specific opportunity

Your criteria are more precise. You may be looking for a particular location, practice size, patient profile, clinical mix, growth opportunity or transition structure.

The more clearly we understand what you are looking for, the more precisely we can identify practices that may be relevant to you.

Multiple practices

Building a dental practice portfolio

Some of the dentists we work with are not buying one practice. They are building a portfolio in Québec, on their own or with partners, one acquisition at a time.

One practice at a time

We work through your portfolio one acquisition at a time, giving each practice the attention it deserves before moving to the next.

An active search

We actively look for practices in the areas you are targeting, and we meet with you regularly to stay current on your plans.

Criteria that evolve with you

The next practice is rarely a copy of the last. As your needs change, what we look for on your behalf changes with them.

When a practice fits what your next purchase should be, you are often the first person we call. If you already own a practice and are looking to add more, book a consultation. We would like to understand your vision for the portfolio and help you grow it.

The process

How it works

Every purchaser starts with a profile and a conversation. From there, we contact you when a practice comes to market that matches what you are looking for.

01

Your purchaser profile

Tell us what you are looking for

The first step is to complete our purchaser questionnaire.

We ask about the areas you would consider, the size and type of practice you are looking for, whether owning the real estate is important to you, your timeline, and how you intend to practise once you become the owner.

I personally review every profile.

You do not need to have everything figured out.

Some purchasers register with very specific criteria. Others know they want to own a practice but are open to location, size or the type of opportunity. Tell us what you know. Your criteria can evolve as you see practices and become clearer on what matters to you.

You can also register well before you are ready to purchase.

If your timeline is one or two years away, we keep that information in your profile and take it into account when deciding when to contact you.

Registering does not obligate you to purchase a practice.

02

The conversation

We get to know you before we send you opportunities

Once we have reviewed your profile, we contact you to arrange a conversation by telephone or Zoom.

This is where we go beyond the questionnaire. We discuss your plans, timeline, financing, how you practise and what you are looking for in a practice. It also gives you the opportunity to ask questions about the acquisition process and clarify criteria you may still be working through.

The purpose is simple: when a practice becomes available, we already know enough about you to determine whether it is an opportunity worth bringing to your attention.

03

The match

You hear from us when a practice fits your criteria

When a practice comes to market, we review the purchasers we have met and identify those whose criteria correspond to the opportunity. If we believe there is a potential fit, we contact you directly.

You will not receive every practice we represent.

What you receive is based on the criteria in your profile and what we learned during our conversation.

A purchaser who is open to several areas, practice sizes and types of opportunities will naturally hear from us more often than someone looking for a very specific location, size or combination of practice and real estate.

There is no right way to define your criteria. The more specific they are, the more specific the opportunities we send you will be.

Why we have a conversation

A practice is more than a set of numbers. So is a purchaser.

When a vendor entrusts us with the sale of a dental practice, they are trusting us with a business they may have spent decades building.

The patients know their name. The team depends on the practice. Their reputation is attached to what happens after the sale.

That is why we want to know who is on the other side of the transaction before we introduce an opportunity. For the vendor, that means knowing that the purchasers receiving confidential information about their practice are people we have taken the time to meet and understand.

For you as a purchaser, it means something equally important. We are not simply sending you practices because you registered on a list.

We know what you are looking for, how you intend to practise, what matters to you in an acquisition and where you are in the process. That allows us to bring you opportunities with context, and to recognise when a practice may be a particularly strong fit for what you are trying to build.

The conversation protects the vendor's confidentiality. It also makes your access to opportunities more relevant.

That matters in a market where the right transaction is not simply about finding a practice for sale. It is about bringing the right purchaser and the right practice together.

04

The file

Understand the practice before you visit it

Once a practice interests you, you receive the information available to properly evaluate the opportunity before deciding whether you want to visit.

This includes the independent appraisal, recent financial information, the lease and the other documentation the seller has provided.

Take the time to review it. Involve your accountant. Look beyond the asking price and understand the practice you would actually be acquiring.

Questions are part of the process.

If something in the file is unclear, ask us. We answer what we can directly. When the answer needs to come from the seller, we obtain it for you.

The objective is for you to arrive at a visit already understanding the business, so your time with the seller can be spent on the things that cannot be understood from a spreadsheet or an appraisal.

Your accountant matters here.

A dental practice does not necessarily read like another type of business. An accountant who regularly works with dentists will understand the economics of a practice, the expense structure and the financial questions that matter in an acquisition.

If you do not already have an accountant with experience in dental practice transactions, speak with us.

05

The visit

See the practice. Meet the person behind it.

If the practice still makes sense after you have reviewed the file, we arrange a private visit. There are no open houses.

You meet the seller and walk through the practice with them. There is no prescribed length for the visit. The purpose is to give you the time you need to understand the practice beyond what you have already seen on paper.

This is your opportunity to see the space, understand how the practice operates and ask the seller the questions that matter to you.

And those conversations matter. The appraisal can tell you what the practice produces. The financial statements can tell you how it performs. The lease can tell you the terms under which it operates.

But they cannot tell you everything about the patients, the team, the history of the practice or what the seller believes will matter most during the transition. That is why you meet the seller directly.

If the practice is not right for you, tell us.

A visit does not create an obligation to proceed. It also gives us useful information. Understanding what you liked, what you did not and what changed once you saw the practice helps us refine what we bring to you next.

06

The offer

When you decide you want to pursue the practice

If you want to move forward, we work with you to prepare the offer to purchase and negotiate it with the seller.

The transaction may be structured as a purchase of shares or assets, in accordance with the applicable rules of the Ordre des dentistes du Québec.

Before you sign, you review the offer with your own lawyer and accountant. Your lawyer then carries the legal transaction forward with you.

You should know where the seller stands before you make your offer.

We discuss the seller's expectations with you before you commit to a number. If there are terms or expectations that are particularly important to the seller, you should understand them before putting an offer forward.

The objective is not simply to submit an offer. It is to put forward an offer that reflects the practice, the transaction and the position of both parties, while protecting the decision you are making as the purchaser.

You do not need to be incorporated before you begin looking.

The appropriate corporate structure can be addressed with your professional advisors once you have a transaction to structure and before closing.

07

Financing

Move from an accepted offer to a financeable transaction

Once your offer is accepted, financing begins.

Dental practice acquisitions are commonly financed through lenders, and the experience of the person handling the file matters.

We introduce you directly to lenders who understand dental practice acquisitions and the financial information behind them, rather than leaving you to determine where to start on your own. We then help move the financing process forward as the transaction progresses.

Confidentiality

Never publicly listed

A dental practice is not an anonymous business.

Patients know the dentist. Employees know the owner. Other dentists know the practice. In Greater Montreal, it often does not take much information for someone to recognise which practice is being sold.

That is why we do not publicly advertise the practices we represent. Instead, we maintain a network of purchasers we have personally spoken with and contact them directly when an opportunity matches what they are looking for.

For the vendor, this protects something important. They can explore the sale of their practice without unnecessarily announcing it to their team, their patients or the broader dental community before they are ready.

For the purchaser, it creates a different kind of access. You are not searching through public listings and competing for information that is available to anyone who visits a website. When an opportunity is relevant to you, you hear from us directly and receive the information you need to determine whether you want to pursue it.

Confidentiality does not mean less information. It means controlling when that information is shared, and with whom.

Once there is a potential match and the appropriate confidentiality requirements have been met, we give you the information available to properly evaluate the practice. That is how we protect the vendor's privacy without compromising your ability to make an informed decision.

Valuation

The appraisal and the asking price

Before a practice is presented to purchasers, there is work behind the number you see.

The appraisal, the asking price and the financing of the transaction are connected, but they are not the same thing.

01

An independent appraisal

The practice is appraised by an independent professional appraiser.

The appraisal provides an objective valuation of the practice based on its financial and operational information. It gives both the vendor and the purchaser an independent point of reference for understanding the value of the business.

02

The asking price

The appraisal does not automatically become the asking price.

We review the appraisal with the vendor and discuss the factors that may influence how the practice is brought to market. The asking price is then established before the practice is presented to purchasers.

For you as the purchaser, this means you are not receiving a practice with a number attached to it and being left to determine where that number came from. You receive the appraisal and the financial information available so you and your professional advisors can evaluate the practice and form your own view of the opportunity.

03

The financing reality

A purchase price also has to exist in the real world of financing.

Lenders conduct their own analysis of the practice and the transaction before determining what they are prepared to finance. That matters because an accepted offer and a financeable transaction are not necessarily the same thing.

Our role is to understand that reality before and during the transaction, not after the purchaser and vendor have already invested significant time in a deal that cannot be financed as structured.

The appraisal establishes an independent point of reference. The asking price establishes the vendor's position. The lender determines what it is prepared to finance.

You and your advisors then decide what the practice is worth to you.

Financing

Financing a dental practice requires the right lender

Financing a dental practice is different from arranging an ordinary business loan. The lender has to understand the economics of a dental practice, the appraisal, the structure of the transaction and the numbers behind the acquisition.

That is why we do more than tell you to speak with your bank.

01

The right lender

We work closely with lenders who have experience financing dental practice acquisitions.

When the time comes to finance your purchase, we help identify the lenders that are well positioned for your particular transaction, taking into account the practice, the purchase price and the structure of the deal.

02

A direct introduction

Once your offer is accepted, we introduce you directly to the people who handle dental practice financing.

You are not starting at a branch or trying to find the right person inside the bank yourself. You begin the conversation with someone who understands the type of transaction you are trying to finance and knows how to assess a dental practice acquisition.

03

Keeping the transaction moving

Financing is not separate from the transaction. It is one of the conditions that has to come together for the transaction to close.

The lenders we work with are accustomed to dental acquisitions and understand the timelines involved once an offer has been accepted. We remain involved as the financing process moves forward, helping keep communication between the parties clear and the transaction moving toward approval.

Our role

On both sides of the table

When Meditax represents a dental practice for sale, the buyer and the seller each typically retain their own lawyer to represent them in the transaction.

We remain involved throughout, and our role is not limited to the seller. We are there to help the buyer too, so that your questions are answered and your needs are met before you make an offer and until the transaction closes.

That approach comes from a legal and tax background. Cathy Nehme holds a law degree from the Université de Montréal and a master's degree in taxation from HEC Montréal, and Meditax has advised dentists since 2011. A lease, a purchase structure or the conditions of an offer can carry consequences that are not obvious from the asking price, and we pay attention to them for both parties.

Questions

FAQ

Do you have dental practices for sale in other parts of Québec?

Our brokerage is focused on Greater Montréal: Montréal, Laval, Lanaudière, the Laurentides and the Montérégie. That is where we accept practices for sale, because it is the market we know practice by practice.

Our legal and tax work is a different matter. We work with dentists across Québec, in French and in English. If you find a practice on your own, wherever it is in Québec, we can represent you in the purchase, from the review of the practice through to closing.

What does “pre-qualified buyer” mean?

It means we have met you. When you join our private buyer network, we book a conversation with you before we introduce a single practice.

A pre-qualified buyer is not simply someone who filled out a form. It is a dentist whose plans, timeline and needs we understand. That protects the seller’s confidentiality, and it means the practices we bring you are chosen with you in mind.

I already own a practice. Do you work with buyers adding a second or third?

Yes, and it is an important part of what we do. Many of the buyers in our network already own one or more practices, on their own or with partners.

We work with you one acquisition at a time, and we adjust what we look for as your portfolio grows and your needs change.

Will I hear about every practice you represent?

No, and that is deliberate. We would rather call you about the right practice than send you every practice that comes to market.

How often you hear from us depends on what you are looking for. The broader your criteria, the more opportunities may be relevant to you. The more specific they are, the more selective the matches will be.

Can I change what I am looking for after I join?

Of course. Most buyers refine their criteria as they see practices and become clearer on what matters to them.

Tell us what has changed and we update your profile. A visit that does not work out is useful too: what you liked and what you did not helps us bring you the right practice next time.

Do I need to be ready to buy before I join?

No. Many buyers join a year or two before they expect to purchase, and joining early gives us time to get to know you.

Your timeline becomes part of your profile, so we contact you when an opportunity makes sense for where you are.

Can you help with financing?

Yes. We introduce you directly to lenders who regularly finance dental practice acquisitions, and we help with your banking questions as the transaction moves forward.

Do you work with dental service organisations?

No. We work with private dentists, including dentists who own several practices on their own or in partnership.

Does joining obligate me to purchase a practice?

No. Joining allows us to get to know you. You decide, practice by practice, whether to visit, whether to make an offer and when.

Already found a practice?

You found the practice. Now you need to know what you are buying.

Not every purchaser comes to Meditax looking for a practice. You may already have found an opportunity through another broker, directly through a dentist you know, or through your own network.

At that point, the question changes.

It is no longer Where do I find a practice?
It becomes Is this the right practice, at the right price, under the right terms?

Our Practice Review service is designed for purchasers who have already identified a practice and want an independent review before making one of the largest business decisions of their career.

We review the practice, the financial information and the transaction with you so you can understand what you are considering before you commit.
