Part one

Terms of Use

1. General terms and acceptance

The website located at meditax.ca (the "Site") is owned and operated by MEDITAX CONSULTING INC. / MEDITAX CONSEILS INC. (collectively "Meditax," "we," "us" or "our"). By accessing or using the Site in any manner, you acknowledge that you have read, understood and agree to be bound by these Terms of Use, our Privacy Policy and all applicable laws and regulations.

Meditax handles the personal information collected through the Site in compliance with the Act respecting the protection of personal information in the private sector, as amended by An Act to modernize legislative provisions as regards the protection of personal information ("Law 25"). Our Privacy Policy below explains how.

We may modify or update these Terms of Use at any time. When changes are made, we will post the revised Terms on this page with an updated effective date. Your continued use of the Site after any change constitutes your acceptance of it. If you do not agree to these Terms, you must stop using the Site.

2. Language

Meditax is based in Montréal, Québec, Canada, and serves dentists across Québec. Our services and communications are offered in French and in English.

3. No legal, tax or financial advice; no lawyer-client relationship

The content of the Site is general information provided for information purposes only. It does not constitute legal, tax, accounting or financial advice and must not be relied upon to make a decision about your own situation. Tax rules, rates and limits change over time and are stated for the year indicated.

Reading the Site, sending us an email or completing a form on the Site does not create a lawyer-client relationship or any other professional relationship with Meditax or Me Cathy Nehme. Such a relationship begins only once a mandate has been accepted by Meditax in writing. Please do not send us confidential information about your situation before a mandate has been confirmed.

Any brokerage, legal or tax service is provided under the terms of a written mandate, which governs that service.

4. Intellectual property

All content on the Site, including text, graphics, logos, images, illustrations and the overall design and layout of the Site, is the property of Meditax or its licensors and is protected by Canadian and international copyright, trademark and other intellectual property laws.

The Site is provided for your personal, non-commercial use. You may not reproduce, distribute, modify, create derivative works from, publicly display, republish or transmit any material from the Site, except that you may download or print one copy of a reasonable number of pages for your personal, non-commercial use, provided you keep all copyright and other proprietary notices intact.

5. Disclaimers and warranties

THE SITE AND ALL CONTENT AND MATERIALS AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEDITAX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

We do not warrant that (i) the Site or its functions will be uninterrupted, error-free or free from viruses or other harmful components; (ii) defects will be corrected; or (iii) the information on the Site is accurate, complete, current or suitable for any particular purpose.

The Site may contain links to third-party websites or resources provided for your convenience. We do not endorse, control or assume responsibility for any third-party sites, information, products or services. Your use of third-party websites is at your own risk and subject to their terms.

6. Examples and illustrations

Examples, figures and scenarios on the Site are simplified illustrations. They are not a promise, guarantee or indication of the outcome of any transaction, tax situation or mandate, which depends on the facts of each case.

7. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDITAX CONSULTING INC., MEDITAX CONSEILS INC., CATHY NEHME OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS OR ASSIGNS (THE "MEDITAX PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, ANY CONTENT OBTAINED FROM THE SITE, UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA, THE CONDUCT OR CONTENT OF ANY THIRD PARTY, OR ANY ERROR OR INACCURACY IN THE CONTENT.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. In those jurisdictions, the liability of the Meditax Parties is limited to the greatest extent permitted by applicable law. Nothing in these Terms limits liability that cannot be limited under the laws of Québec.

8. User conduct

As a condition of your use of the Site, you agree that you will not:

  • use the Site for any unlawful purpose or in violation of these Terms;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • interfere with or disrupt the Site, its servers or connected networks;
  • attempt to gain unauthorized access to any part of the Site or its systems;
  • upload or transmit viruses, malware or any other harmful code;
  • collect or harvest personal information about other users;
  • reproduce or distribute content from the Site without authorization.

9. Indemnification

You agree to defend, indemnify and hold harmless the Meditax Parties from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from or related to (i) your use of the Site; (ii) your violation of these Terms; or (iii) your violation of any third-party rights.

10. Termination

We may, in our sole discretion, terminate or suspend your access to all or part of the Site at any time, with or without notice. All provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification and limitations of liability.

11. Governing law and jurisdiction

These Terms, and any dispute arising out of or related to these Terms or your use of the Site, are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. Any legal action or proceeding arising out of or related to these Terms or the Site must be instituted in the courts located in Montréal, Québec, Canada, to the extent permitted by applicable law.

12. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Meditax regarding your use of the Site. A written mandate between you and Meditax governs the services provided under it.

Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of it unless acknowledged in writing by us.

Part two

Privacy Policy

1. Overview

This Privacy Policy explains how MEDITAX CONSULTING INC. / MEDITAX CONSEILS INC. ("we," "us" or "our") collects, uses, discloses and protects personal information obtained through the meditax.ca website (the "Site").

We may modify this Privacy Policy at any time. When we do, we will post the updated version on this page and revise the effective date.

2. Information we collect

Information you provide. We collect the personal information you choose to give us when you contact us by email, book a consultation, join our private buyer network or tell us about a practice you wish to sell. This may include your name, email address, telephone number, the practices or regions you are interested in, your timeline, and information about your practice.

Information collected automatically. Unless you turn off analytics and advertising cookies (see section 6), we collect certain information about your device and your visit, such as your IP address and general location, browser type, device and operating-system information, the pages you view and the site that referred you.

3. How we use your information

We use your information to respond to your inquiries; to book and hold consultations; to understand what you are looking for and contact you about practices that may be relevant to you; to provide the services set out in a mandate; to operate, maintain and improve the Site; and, unless you have turned off analytics and advertising cookies, to measure visits to the Site and the effectiveness of our advertising. We also use it to comply with our legal and professional obligations.

Information you share with us in connection with a mandate is treated as confidential and, where applicable, is protected by professional secrecy.

4. How we share your information

Service providers. We use service providers to host the Site and to handle our email and communications. They may process your information only as needed to provide those services to us.

Analytics and advertising. Unless you turn them off, the Site uses analytics and advertising technologies to measure visits and the effectiveness of our advertising. The providers of these technologies may collect information about your activity over time and across websites under their own privacy policies.

Legal requirements. We may disclose your information if required by law or valid legal process, or to protect our rights, property or safety, or those of others.

With your consent. We may share your information with a third party when you consent to it or ask us to do so, for example when you ask us to introduce you to a lender.

We do not sell your personal information.

5. Third-party websites

The Site may contain links to websites not owned or controlled by Meditax. We are not responsible for their privacy practices, and this Privacy Policy does not apply to them.

6. Cookies and tracking technologies

The Site uses cookies and similar technologies to measure visits and the effectiveness of our advertising. When you first visit the Site, a banner informs you of their use.

You can turn off analytics and advertising cookies through Manage preferences in the banner, or at any time through the Cookie settings link at the bottom of every page. Your choice applies to your future visits on that browser. Technologies strictly necessary for the Site to function, including the one that remembers your choice, remain active.

7. Security

We take reasonable measures to protect personal information. No method of transmission over the internet or electronic storage is completely secure, however, and we cannot guarantee absolute security.

8. Retention

We keep personal information only as long as necessary for the purposes for which it was collected, unless a longer period is required or permitted by law or by our professional obligations.

9. Minors

The Site is intended for adults. We do not knowingly collect personal information from anyone under 18. If we learn that we have done so, we will delete it.

10. Additional provisions for Québec residents

Meditax complies with the Act respecting the protection of personal information in the private sector, as amended by Law 25. If you are a resident of Québec, the following provisions apply and prevail in the event of any conflict.

Person responsible for the protection of personal information. Me Cathy Nehme · cathy@meditax.ca. You may contact her with any question about this Policy or the personal information we hold, or to exercise your rights.

Tracking technologies. The Site uses analytics and advertising technologies. We inform you of their use when you first visit the Site, and you can turn them off at any time through Manage preferences in the banner or the Cookie settings link at the bottom of every page.

Purposes of collection. We collect your personal information only for the purposes identified at the time of collection, and with your consent, except where the law permits otherwise.

Your rights. You have the right to access the personal information we hold about you; to ask that inaccurate, incomplete or ambiguous information be corrected; to withdraw your consent; to ask that we stop disseminating your information or de-index a link associated with your name, where the law permits; and to receive computerized personal information you have provided to us in a structured, commonly used technological format. To exercise any of these rights, contact the person responsible above. We will respond within 30 days.

Information outside Québec. Some of our service providers, including those that host the Site and provide analytics and advertising, are located outside Québec, including in the United States. Your information may therefore be stored or processed outside Québec and be subject to the laws of those jurisdictions.

Confidentiality incidents. If a confidentiality incident presents a risk of serious injury, we will notify the Commission d'accès à l'information du Québec and the people affected, as required by law.

Complaints. If you have a concern about how we handle your personal information, contact the person responsible above. You may also file a complaint with the Commission d'accès à l'information du Québec.
